Call for Nominations: FSR Officer Elections
Call for Nominations (from the FSR Nominating Committee):
We hope this finds all of you well.
As you know, we continue to work collectively toward facilitating lasting organizational changes including increased transparency, more inclusive decision making, and furthering our commitment to anti-racism. In light of these commitments, we announce that FSR Officer elections will take place in November 2023, and we invite nominations for the following positions:
Secretary
Treasurer
Director at Large
Criteria and responsibilities are as follows:
1. Officers should normally have served in some way on one of the unit boards (Journal, Web, or Lab), and, because of the workload, should not normally serve concurrently as an editor or co-chair.
2. Terms will run for a 3-4 year term from November to November because that is the month of FSR Inc’s official annual meeting (held in conjunction with the AAR).
3. Officers will be expected to attend at least two meetings of the FSR Inc board each year: the annual meeting in November and a planning meeting in the summer, usually in June.
4. Self-nominations and other nominations for these positions should come from the unit boards and chairs and will be considered by the Board of Directors as a whole. The BOD can also request nominations from within or beyond the unit boards if the organization is seeking specific expertise and experience.
5. These are unpaid/volunteer positions. In taking on these roles Officers and Directors assume financial and legal responsibility for the organization, with the protection of a D&O (Director & Officer) insurance policy.
6. Responsibilities for each of the positions are outlined in our bylaws and are summarized as follows:
The Secretary is responsible for keeping minutes at all board meetings; ensuring that all required documents, reports, and annual filings are filed in a timely manner; handling and processing the organization’s mail; and keeping all books, records and papers related to FSR Inc’s organization and management.
The Treasurer is responsible for keeping and maintaining FSR Inc’s books, funds, and securities in compliance with FSR Inc’s Investment Policy; handling receipts, reimbursements, and requests for funds from unit boards and members, submitting these to the BOD for approval whenever necessary; and coordinating the preparation of our annual tax returns and financial reports with a CPA.
Directors at Large (DaL) should represent the diversity of FSR board members and can come from other Unit boards, but could also be individuals who have not served in any capacity to provide a fresh point of view, expertise, and so on. The FSR board will have 2-4 DaL at any given time.
